Provider and scope of application<\/strong><\/h2>\n<p data-start=\"509\" data-end=\"627\">These Terms of Use and General Terms and Conditions (hereinafter &#8220;GTC&#8221;) apply to all contracts between<\/p>\n<p data-start=\"629\" data-end=\"714\"><strong data-start=\"629\" data-end=\"661\">qb consulting + trading GmbH<\/strong><br data-start=\"661\" data-end=\"664\">Tummelplacken 7<br data-start=\"679\" data-end=\"682\">26169 Friesoythe<br data-start=\"698\" data-end=\"701\">Germany<\/p>\n<p data-start=\"716\" data-end=\"846\">Represented by: Matthias S\u00fc\u00df and Tatjana S\u00fc\u00df<br data-start=\"761\" data-end=\"764\">Register court: Oldenburg Local Court, HRB 222063<br data-start=\"814\" data-end=\"817\">E-mail: <a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"825\" data-end=\"844\">hello@happyclaim.de<\/a><\/p>\n<p data-start=\"848\" data-end=\"911\">and entrepreneurs within the meaning of Section 14 BGB (hereinafter &#8220;Customer&#8221;).<\/p>\n<p data-start=\"913\" data-end=\"1071\">Deviating or conflicting terms and conditions of the customer shall not be recognized unless the provider expressly agrees to their validity in writing.<\/p>\n<hr data-start=\"1073\" data-end=\"1076\">\n<h2 data-start=\"1078\" data-end=\"1106\"><strong data-start=\"1081\" data-end=\"1106\">2. Subject matter of the contract<\/strong><\/h2>\n<p data-start=\"1107\" data-end=\"1417\">HappyClaim is a cloud-based complaints management software (&#8220;Software-as-a-Service&#8221;, SaaS for short) that enables retailers and suppliers to process complaints digitally and efficiently.<br data-start=\"1305\" data-end=\"1308\">The software is provided exclusively online. There is no entitlement to local installation. <\/p>\n<p data-start=\"1419\" data-end=\"1545\">During the term, the customer receives a simple, non-transferable, time-limited right to use the software.<\/p>\n<hr data-start=\"1547\" data-end=\"1550\">\n<h2 data-start=\"1552\" data-end=\"1573\"><strong data-start=\"1555\" data-end=\"1573\">3. Test version<\/strong><\/h2>\n<p data-start=\"1574\" data-end=\"1902\">After registering at <a class=\"decorated-link\" href=\"https:\/\/www.happyclaim.de\" target=\"_new\" rel=\"noopener\" data-start=\"1597\" data-end=\"1643\">www.happyclaim.de<\/a>, the customer receives access to a free <strong data-start=\"1689\" data-end=\"1715\">14-day trial version<\/strong>.<br data-start=\"1716\" data-end=\"1719\">Access is automatically blocked at the end of the trial period.<br data-start=\"1782\" data-end=\"1785\">The trial data is deleted <strong data-start=\"1806\" data-end=\"1843\">30 days after the end of the trial period<\/strong>, unless a chargeable booking is made.<\/p>\n<hr data-start=\"1904\" data-end=\"1907\">\n<h2 data-start=\"1909\" data-end=\"1934\"><strong data-start=\"1912\" data-end=\"1934\">4. Scope of services<\/strong><\/h2>\n<p data-start=\"1935\" data-end=\"1985\">HappyClaim provides the following main services:<\/p>\n<ul data-start=\"1986\" data-end=\"2245\">\n<li data-start=\"1986\" data-end=\"2073\">\n<p data-start=\"1988\" data-end=\"2073\">Access to the SaaS platform via a web browser (recommended: Google Chrome, Firefox)<\/p>\n<\/li>\n<li data-start=\"2074\" data-end=\"2132\">\n<p data-start=\"2076\" data-end=\"2132\">Use of the selected range of functions (depending on the package)<\/p>\n<\/li>\n<li data-start=\"2133\" data-end=\"2193\">\n<p data-start=\"2135\" data-end=\"2193\">Option to book additional modules and users<\/p>\n<\/li>\n<li data-start=\"2194\" data-end=\"2245\">\n<p data-start=\"2196\" data-end=\"2245\">Technical support within the support hours<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2247\" data-end=\"2413\">Availability: <strong data-start=\"2262\" data-end=\"2282\">99.5% per month<\/strong>, excluding maintenance times (Saturday 20-24 CET), force majeure or disruptions beyond the control of HappyClaim.<\/p>\n<hr data-start=\"2415\" data-end=\"2418\">\n<h2 data-start=\"2420\" data-end=\"2459\"><strong data-start=\"2423\" data-end=\"2459\">5. prices and transaction costs<\/strong><\/h2>\n<p data-start=\"2460\" data-end=\"2647\">The applicable prices are published on the website <a class=\"decorated-link\" href=\"https:\/\/www.happyclaim.de\" target=\"_new\" rel=\"noopener\" data-start=\"2509\" data-end=\"2555\">www.happyclaim.de<\/a>.<br data-start=\"2571\" data-end=\"2574\">All prices are understood to be  <strong data-start=\"2601\" data-end=\"2644\">net plus statutory value added tax <\/strong>.<\/p>\n<p data-start=\"2649\" data-end=\"2736\"><strong data-start=\"2649\" data-end=\"2665\">Transaction:<\/strong> A transaction corresponds to a created complaint (&#8220;ticket&#8221;).<\/p>\n<p data-start=\"2738\" data-end=\"2763\"><strong data-start=\"2738\" data-end=\"2761\">Transaction prices:<\/strong><\/p>\n<ul data-start=\"2764\" data-end=\"2862\">\n<li data-start=\"2764\" data-end=\"2795\">\n<p data-start=\"2766\" data-end=\"2795\">Basic plan: 1,00 \u20ac \/ ticket<\/p>\n<\/li>\n<li data-start=\"2796\" data-end=\"2825\">\n<p data-start=\"2798\" data-end=\"2825\">Per plan: 0,80 \u20ac \/ ticket<\/p>\n<\/li>\n<li data-start=\"2826\" data-end=\"2862\">\n<p data-start=\"2828\" data-end=\"2862\">Enterprise plan: \u20ac 0.60 \/ ticket<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2864\" data-end=\"2927\">Transaction costs are charged monthly according to consumption.<\/p>\n<hr data-start=\"2929\" data-end=\"2932\">\n<h2 data-start=\"2934\" data-end=\"2966\"><strong data-start=\"2937\" data-end=\"2966\">6. Term and termination<\/strong><\/h2>\n<p data-start=\"2967\" data-end=\"3101\"><strong data-start=\"2967\" data-end=\"2982\">Basic plan:<\/strong> 3-month term, can be canceled at the end of the month.<br data-start=\"3025\" data-end=\"3028\"><strong data-start=\"3028\" data-end=\"3057\">Pro and Enterprise plan:<\/strong> 1-month term, can be canceled at the end of the month.<\/p>\n<p data-start=\"3103\" data-end=\"3287\">Notices of termination must be sent in <strong data-start=\"3123\" data-end=\"3150\">text form (e.g. email)<\/strong> to <a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"3154\" data-end=\"3175\">support@happyclaim.de<\/a>.<br data-start=\"3187\" data-end=\"3190\">If the contract is not terminated in due time, it will be automatically extended by the respective term.<\/p>\n<p data-start=\"3289\" data-end=\"3370\">The right to extraordinary termination for good cause remains unaffected.<\/p>\n<hr data-start=\"3372\" data-end=\"3375\">\n<h2 data-start=\"3377\" data-end=\"3406\"><strong data-start=\"3380\" data-end=\"3406\">7. Terms of payment<\/strong><\/h2>\n<p data-start=\"248\" data-end=\"655\">Invoices are issued <strong data-start=\"266\" data-end=\"314\">after the end of the respective calendar month<\/strong> and take into account the transactions (tickets) actually incurred in the billing period as well as any additional services booked.<br data-start=\"457\" data-end=\"460\">Invoices are sent <strong data-start=\"482\" data-end=\"509\">electronically by e-mail<\/strong> to the administrator or invoice recipient specified by the customer and are <strong data-start=\"599\" data-end=\"652\">due immediately upon receipt without deduction, strictly net.<\/strong><\/p>\n<p data-start=\"657\" data-end=\"938\">Payments are made using the payment method provided (credit card, SEPA direct debit, PayPal or invoice for annual plans).<br data-start=\"784\" data-end=\"787\">In the event of late payment, HappyClaim is entitled to temporarily block access to the service until the outstanding amount has been paid in full.<\/p>\n<hr data-start=\"3726\" data-end=\"3729\">\n<h2 data-start=\"3731\" data-end=\"3774\"><strong data-start=\"3734\" data-end=\"3774\">8. Data processing and data protection<\/strong><\/h2>\n<p data-start=\"3775\" data-end=\"4035\">The client remains the controller within the meaning of the GDPR for its processed data.<br data-start=\"3858\" data-end=\"3861\">HappyClaim processes personal data as a processor in accordance with Art. 28 GDPR.<br data-start=\"3951\" data-end=\"3954\">A <strong data-start=\"3958\" data-end=\"3996\">data processing agreement (DPA)<\/strong> is part of this agreement.<\/p>\n<p data-start=\"4037\" data-end=\"4269\">Sub-processors: Strato AG, Google Analytics, Mailchimp, Twenty CRM.<br data-start=\"4114\" data-end=\"4117\">The complete privacy policy is available at <a class=\"decorated-link\" href=\"https:\/\/happyclaim.de\/en\/privacy-policy\/\" target=\"_new\" rel=\"noopener\" data-start=\"4179\" data-end=\"4269\">https:\/\/happyclaim.de\/datenschutzerklarung\/<\/a><\/p>\n<hr data-start=\"4271\" data-end=\"4274\">\n<h2 data-start=\"4276\" data-end=\"4306\"><strong data-start=\"4279\" data-end=\"4306\">9. Obligations of the customer<\/strong><\/h2>\n<p data-start=\"4307\" data-end=\"4337\">The customer undertakes to,<\/p>\n<ul data-start=\"4338\" data-end=\"4698\">\n<li data-start=\"4338\" data-end=\"4406\">\n<p data-start=\"4340\" data-end=\"4406\">to use the services exclusively for their own business purposes,<\/p>\n<\/li>\n<li data-start=\"4407\" data-end=\"4449\">\n<p data-start=\"4409\" data-end=\"4449\">Access data must be treated confidentially,<\/p>\n<\/li>\n<li data-start=\"4450\" data-end=\"4536\">\n<p data-start=\"4452\" data-end=\"4536\">not to infiltrate unauthorized third parties (e.g. by passing on access data),<\/p>\n<\/li>\n<li data-start=\"4537\" data-end=\"4600\">\n<p data-start=\"4539\" data-end=\"4600\">not to disseminate any illegal content via HappyClaim,<\/p>\n<\/li>\n<li data-start=\"4601\" data-end=\"4698\">\n<p data-start=\"4603\" data-end=\"4698\">to use the API only within the fair use limit of <strong data-start=\"4649\" data-end=\"4682\">5,000 requests per user\/day<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"4700\" data-end=\"4752\">HappyClaim can block access in the event of misuse.<\/p>\n<hr data-start=\"4754\" data-end=\"4757\">\n<h2 data-start=\"4759\" data-end=\"4794\"><strong data-start=\"4762\" data-end=\"4794\">10. Data export and deletion<\/strong><\/h2>\n<p data-start=\"4795\" data-end=\"5152\">After the end of the contract, customer data is stored <strong data-start=\"4833\" data-end=\"4845\">for 180 days<\/strong> and then deleted.<br data-start=\"4891\" data-end=\"4894\">The customer can request a data export (CSV or JSON) within <strong data-start=\"4923\" data-end=\"4953\">30 days of the end of the contract<\/strong>.<br data-start=\"4998\" data-end=\"5001\">Data is provided within <strong data-start=\"5031\" data-end=\"5043\">14 days<\/strong> of the request.<br data-start=\"5057\" data-end=\"5060\">A reasonable fee may be charged for large volumes of data (&gt; 1 GB).<\/p>\n<hr data-start=\"5154\" data-end=\"5157\">\n<h2 data-start=\"5159\" data-end=\"5177\"><strong data-start=\"5162\" data-end=\"5177\">11. Liability<\/strong><\/h2>\n<p data-start=\"5178\" data-end=\"5558\">HappyClaim is liable without limitation for intent, gross negligence and injury to life, limb or health.<br data-start=\"5299\" data-end=\"5302\">In the case of simple negligence, HappyClaim is only liable for the breach of <strong data-start=\"5372\" data-end=\"5406\">essential contractual obligations<\/strong> (cardinal obligations)<br data-start=\"5426\" data-end=\"5429\">and only up to the amount of the <strong data-start=\"5454\" data-end=\"5500\">foreseeable damage typical for the contract<\/strong>, but not exceeding the <strong data-start=\"5525\" data-end=\"5555\">customer&#8217;s annual remuneration<\/strong>.<\/p>\n<p data-start=\"5560\" data-end=\"5586\">No liability exists for:<\/p>\n<ul data-start=\"5587\" data-end=\"5805\">\n<li data-start=\"5587\" data-end=\"5651\">\n<p data-start=\"5589\" data-end=\"5651\">Data loss beyond the control of HappyClaim,<\/p>\n<\/li>\n<li data-start=\"5652\" data-end=\"5728\">\n<p data-start=\"5654\" data-end=\"5728\">Disruptions caused by third parties (e.g. network failures, interface problems),<\/p>\n<\/li>\n<li data-start=\"5729\" data-end=\"5805\">\n<p data-start=\"5731\" data-end=\"5805\">incorrect entries or inadequate data backup by the customer.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"5807\" data-end=\"5852\">The Product Liability Act remains unaffected.<\/p>\n<hr data-start=\"5854\" data-end=\"5857\">\n<h2 data-start=\"5859\" data-end=\"5888\"><strong data-start=\"5862\" data-end=\"5888\">12. Intellectual property<\/strong><\/h2>\n<p data-start=\"5889\" data-end=\"6159\">All rights to the software, the trademarks and the documentation remain with HappyClaim.<br data-start=\"5977\" data-end=\"5980\">The customer receives only a <strong data-start=\"6016\" data-end=\"6085\">simple, non-transferable, time-limited right of use<\/strong>.<br data-start=\"6086\" data-end=\"6089\">Reverse engineering, copying or sublicensing are prohibited.<\/p>\n<hr data-start=\"6161\" data-end=\"6164\">\n<h2 data-start=\"6166\" data-end=\"6207\"><strong data-start=\"6169\" data-end=\"6207\">13. Changes to the GTC or prices<\/strong><\/h2>\n<p data-start=\"6208\" data-end=\"6519\">HappyClaim may change these GTC or prices if this is reasonable for the customer.<br data-start=\"6294\" data-end=\"6297\">Changes will be announced <strong data-start=\"6315\" data-end=\"6358\">by e-mail at least 30 days in advance<\/strong>.<br data-start=\"6371\" data-end=\"6374\">The customer may <strong data-start=\"6412\" data-end=\"6429\">object<\/strong> or cancel within this period.<br data-start=\"6444\" data-end=\"6447\">If no objection is made, the changes are deemed to have been accepted.<\/p>\n<hr data-start=\"6521\" data-end=\"6524\">\n<h2 data-start=\"6526\" data-end=\"6550\"><strong data-start=\"6529\" data-end=\"6550\">14. Force majeure<\/strong><\/h2>\n<p data-start=\"6551\" data-end=\"6779\">HappyClaim is not liable for failures due to force majeure (e.g. natural disasters, strikes, war, pandemics).<br data-start=\"6664\" data-end=\"6667\">If such a situation lasts longer than two months, both parties may terminate the contract without notice.<\/p>\n<hr data-start=\"6781\" data-end=\"6784\">\n<h2 data-start=\"6786\" data-end=\"6804\"><strong data-start=\"6789\" data-end=\"6804\">15. Support<\/strong><\/h2>\n<p data-start=\"6805\" data-end=\"6898\">Support times: Monday-Friday, 09:00-17:00 (CET), excluding public holidays.<br data-start=\"6879\" data-end=\"6882\">Response times:<\/p>\n<ul data-start=\"6899\" data-end=\"7025\">\n<li data-start=\"6899\" data-end=\"6945\">\n<p data-start=\"6901\" data-end=\"6945\">Standard cases: Response within 1 working day<\/p>\n<\/li>\n<li data-start=\"6946\" data-end=\"7025\">\n<p data-start=\"6948\" data-end=\"7025\">Critical faults: Response within 4 hours during support hours<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"7027\" data-end=\"7059\">Contact: <a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"7036\" data-end=\"7057\">support@happyclaim.de<\/a><\/p>\n<hr data-start=\"7061\" data-end=\"7064\">\n<h2 data-start=\"7066\" data-end=\"7112\"><strong data-start=\"7069\" data-end=\"7112\">16. Applicable law and place of jurisdiction<\/strong><\/h2>\n<p data-start=\"7113\" data-end=\"7290\"><strong data-start=\"7136\" data-end=\"7155\">German law<\/strong> applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.<br data-start=\"7192\" data-end=\"7195\">The place of jurisdiction is, as far as legally permissible, the <strong data-start=\"7246\" data-end=\"7287\">registered office of the provider &#8211; Oldenburg (Oldb).<\/strong><\/p>\n<hr data-start=\"7292\" data-end=\"7295\">\n<h2 data-start=\"7297\" data-end=\"7327\"><strong data-start=\"7300\" data-end=\"7327\">17. Final provisions<\/strong><\/h2>\n<p data-start=\"7328\" data-end=\"7652\">Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.<br data-start=\"7442\" data-end=\"7445\">The invalid provision shall be replaced by a provision that comes closest to the economic purpose.<br data-start=\"7551\" data-end=\"7554\">The contract language is <strong data-start=\"7578\" data-end=\"7589\">German<\/strong>.
